Outside General Counsel: McKoon, Williams, Atchley & Stanley, PLLC establishes relationships with existing businesses as well as with startups to provide ongoing outside general counsel. This allows both parties to establish a long-term counsel-client partnership based on mutual trust, and it provides the firm with an understanding of the particular needs and requirements of the client. Services provided under an outside-general-counsel arrangement can include review of standard agreements, drafting contracts, reviewing financing documents, advising on, negotiating, and preparing agreements for the purchase or sale of a business (M&A). Buy-Sell Agreements: A buy-out between co-owners of a business (including redemption of shares by the business entity) is often routine, but it can be the result of a tense, stressful negotiation. McKoon, Williams, Atchley & Stanley, PLLC is experienced in both these situations, and for those clients who wish to plan ahead, he helps avoid the disruption that a hostile buy-out negotiation causes by drafting a buy-sell agreement ahead of time. The firm chooses the most appropriate form of buy-sell agreement, taking into account such factors as the number of partners, the nature of the event that can trigger the purchase or sale, the value of the business, the method of payment (and security for a deferred payment), and many other complexities.

Mr. McKoon is a seasoned litigator having represented clients at both the state and federal level in disputes such as unfair competition, raiding claims, gender, race and national origin harassment and discrimination claims, suits to enforce non-competition, non-solicitation, and "shop rights" provisions, protection of trade secrets, breaches of contract, audit malpractice, conversion, probate and estate disputes, and various torts including catastrophic injury claims.
A native of Soddy Daisy, Mr Stulce was admitted to the Tennessee Bar in 1977. He attended the University of Tennessee at Knoxville, Receiving his B.S. in 1974 and his J.D. in 1976. He is a member of the Tennessee and Chattanooga Bar Associations. His areas of practice include Business Litigation, Municipal, Construction, Corporate Law, Real Estate, Probate, Personal Injury, and Products Liability. Mr. Stulce serves as City Attorney for the City of Red Bank and sits as a Judge for the City of Lakesite. He is involved in many civic and community organizations. Mr. Stulce has been certified as a Civil Trial Specialist by the National Board of Trial Advocacy and The Tennessee Commission on Continuing Legal Education and Specialization. He is among the First in Tennessee to obtain this certification.
A native of Nashville, Tennessee, Erika attended the University of Tennessee at Chattanooga, where she received a B.S. in 2012, and the University of Tennessee at Knoxville, where she received a J.D. in 2016. Erika joined McKoon, Williams, Atchley, & Stulce in July 2018.
