Outside General Counsel: McKoon, Williams, Atchley & Stanley, PLLC establishes relationships with existing businesses as well as with startups to provide ongoing outside general counsel. This allows both parties to establish a long-term counsel-client partnership based on mutual trust, and it provides the firm with an understanding of the particular needs and requirements of the client. Services provided under an outside-general-counsel arrangement can include review of standard agreements, drafting contracts, reviewing financing documents, advising on, negotiating, and preparing agreements for the purchase or sale of a business (M&A). As outside general counsel, the firm also provides the service of finding experts in other legal areas when the client needs a specialist.

Buy-Sell Agreements: A buy-out between co-owners of a business (including redemption of shares by the business entity) is often routine, but it can be the result of a tense, stressful negotiation. McKoon, Williams, Atchley & Stanley, PLLC is experienced in both these situations, and for those clients who wish to plan ahead, he helps avoid the disruption that a hostile buy-out negotiation causes by drafting a buy-sell agreement ahead of time. The firm chooses the most appropriate form of buy-sell agreement, taking into account such factors as the number of partners, the nature of the event that can trigger the purchase or sale, the value of the business, the method of payment (and security for a deferred payment), and many other complexities.

Mr. McKoon is a seasoned litigator having represented clients at both the state and federal level in disputes such as unfair competition, raiding claims, gender, race and national origin harassment and discrimination claims, suits to enforce non-competition, non-solicitation, and "shop rights" provisions, protection of trade secrets, breaches of contract, audit malpractice, conversion, probate and estate disputes, and various torts including catastrophic injury claims.
Born in Chattanooga, Tennessee, Judge Williams achieved his life long dream of becoming a Judge in March 1991. In his first political race, obtaining 56% of the vote, he won election as Judge of the Chattanooga City Court for a term of eight years. His judicial style, no-nonsense approach and unusual alternative sentences have gained him national attention along with numerous awards and honors. He was featured on the initial segment of CBS's "Street Stories" hosted by Ed Bradley; and has appeared on CNN, the 700 Club, and in JET, NEWSWEEK, READER'S DIGEST, SOUTHERN LIVING and other publications.
Ms. MacGregor received a B.A. in Zoology from Miami University in 2002. After working for several years in safety and compliance, she attended Michigan State University College of Law where she received her J.D., cum laude, in 2009. While in law school, she served as an editorial board member of the Journal of Medicine and Law and was a law clerk for Legal Services of South Central Michigan.
